Robinhood Ventures Fund II is expected to go public soon. Here's what we know about the IPO — and how to buy Robinhood Ventures Fund II stock when it's available.
What we know about the Robinhood Ventures Fund II IPO
On August 3, 2026, Robinhood Ventures Fund II announced the launch of its IPO roadshow, filing a registration statement on Form N-2 with the SEC to offer common shares of beneficial interest.(1) The fund is expected to list on the New York Stock Exchange under the ticker RVII on August 13, 2026, at an expected price of $25 per share.(2)
RVII is the second fund from Robinhood Ventures, following Robinhood Ventures Fund I (RVI), which is already trading. Where RVI holds a concentrated portfolio of later-stage private companies, RVII takes a broader approach—targeting early- and growth-stage startups, with a focus on companies tied to the Y Combinator accelerator.(3)
Offering size: RVII is offering up to 8,000,000 common shares, made up of 7,600,000 shares from the fund itself and 400,000 shares from Robinhood Markets, Inc. as a selling shareholder.(1)
Portfolio: The fund currently holds 80 private companies, with a stated focus on current or former Y Combinator startups, or companies whose founders came through the program. Additional holdings are expected to be added over time.(3)
Structure: RVII is a business development company (BDC), a type of closed-end fund. It issues a fixed number of shares that trade on an exchange rather than being redeemable directly from the fund.(3)
Accessibility: The offering carries no accreditation requirements, income thresholds or net worth minimums, matching the structure Robinhood used for RVI.(4)
Timeline: The window to request IPO shares opened August 3 and is expected to close August 12, with the IPO expected on August 13.(2)
As with any closed-end fund tied to private company valuations, RVII carries risk that shares may trade at a discount or premium to net asset value, and that underlying holdings may face limited liquidity.
