Electric vehicle charging station company EVgo is in talks to go public via a merger with a special purpose acquisition company. We will update this page as new information becomes available.
EVgo, a Los Angeles-based public electric vehicle charging station company, is planning to go public through a merger with a special purpose acquisition company (SPAC), also known as a blank check company. SPACs are companies with no commercial operations that exist purely to raise capital through IPOs. The deal is expected to close in the second quarter.
The SPAC, Climate Change Crisis Real Impact I Acquisition Corporation, originally went public in October 2020. The SPAC's stock is currently traded on the NYSE under the ticker symbol "CLII." After the merger, EVgo will trade on the NYSE under the ticker "EVGO."
This deal has been met with some pushback. A law firm, Brodsky & Smith out of Pennsylvania, have reportedly opened an investigation into whether or not shareholders of CLII are being fairly treated in the deal. Claims against the board of directors of Climate Change Crisis Real Impact I Acquisition Corporation allege that the SPAC breached their fiduciary duty to its shareholders by failing to conduct a fair process, including dilution of ownership interest in the combined company. CLII shareholders will reportedly retain 8.7% ownership in the combined company. We will provide updates as they are available.
